These Seller Terms and Conditions (the “Seller Terms”) are specifically applicable to Sellers (as defined hereunder) and are in addition to the "General Terms of Use" available at SafeSparesOnline Terms of Use. The Seller Terms describe the terms under which a Seller can avail of the Seller Services (as defined hereunder) through the Platform.

In case of any conflict or inconsistency between the General Terms of Use and these Seller Terms, the provisions of these Seller Terms shall prevail, to the extent of such conflict. .

PLEASE READ THESE SELLER TERMS AND CONDITIONS CAREFULLY BEFORE REGISTERING AS A SELLER ON THE PLATFORM. REGISTERING AS A SELLER ON THE PLATFORM INDICATES YOUR UNCONDITIONAL ACCEPTANCE OF THESE SELLER TERMS AND YOUR AGREEMENT TO BE LEGALLY BOUND BY THEM.

A. Defined Terms

All defined terms used in these Seller Terms will have the same meanings as assigned under the General Terms of Use, unless otherwise specified. The Seller Terms, along with the General Terms of Use and SafeSparesOnline Refund Policies, collectively form the ‘Terms of Use’ in relation to the Seller.

• Buyer: A buyer of the Products listed on the Platform.

• Estimated Shipping Date: The shipping availability date specified by the Seller.

• Logistics Partner: A logistics service provider approved by SafeSparesOnline.

• Required Product Information: Essential details for product listing, including description, price, and shipping info.

• Seller: A registered person on the Platform to sell Products.

• Seller Services: Services provided by SafeSparesOnline to Sellers, including product listing, sale facilitation, and shipment management.

• Shipment: A Product to be delivered by a Logistics Partner under a Waybill.

• Waybill: A shipping label or consignment note containing shipment details.

B. Registration

To use Seller Services, Sellers must register on the Platform by creating an Account. Continued access to the Platform is contingent on active registration.

The Seller must provide the necessary details, including name, business information, address, phone number, and email.

C. Seller Services

SafeSparesOnline provides the following Seller Services:

• Marketplace Listing: Sellers can list their Products along with the Required Product Information.

• Sale Facilitation: The Platform facilitates Product sales, payment processing, and communication between Buyers and Sellers.

• Product Categories: Sellers can list their Products under various categories, subject to SafeSparesOnline’s discretion.

• Order Details: SafeSparesOnline will share order details for sales made by Buyers.

• Logistics Services: SafeSparesOnline facilitates delivery through approved Logistics Partners.

Note: SafeSparesOnline is not responsible for transactions between Sellers and Buyers. All terms related to price, payment, warranties, and after-sales services are solely between the Seller and Buyer. SafeSparesOnline does not determine or influence these terms.

D. Conditions of Listing

SafeSparesOnline may de-list Products based on factors such as Buyer complaints. There is no guarantee of leads, sales, or transactions from listings.

E. Representations and Warranties

By registering and listing Products, the Seller represents and warrants:

• They are the legal owner or authorized reseller of the Products.

• The Required Product Information provided is accurate, complete, and up to date.

• They will offer Products under terms no less advantageous than those offered elsewhere.

• They will comply with all applicable laws and regulations.

• The Seller shall accept returns, refunds, and adjustments per SafeSparesOnline’s Refund Policies.

F. Required Product Information

SafeSparesOnline reserves the right to use all Required Product Information for creating product catalogs. These catalogs remain the property of SafeSparesOnline, and no claims will be made by the Seller over them.

G. Disclaimers

SafeSparesOnline does not make representations or warranties regarding the quality, value, or saleability of Products. It is not liable for errors, defects, or omissions and does not guarantee the performance of Sellers or Buyers in completing transactions.

SafeSparesOnline is not required to mediate or resolve disputes between Sellers and Buyers.

H. Payments

SafeSparesOnline can limit or remove access to the Platform at any time. Payments to Sellers for completed transactions will be processed via a Nodal Account, and COD transactions will be processed through online banking.

SafeSparesOnline has the right to retain any amounts due to it from the Seller.

I. Logistics Services

SafeSparesOnline will remit payments to Sellers through a Nodal Account in accordance with RBI guidelines. The Seller authorizes SafeSparesOnline to collect and disclose transaction details as necessary.

J. Remedies

SafeSparesOnline may remove Product listings, limit access to Seller Services, or delete Seller Accounts if necessary.

K. Seller’s Obligations

Sellers are responsible for the correct delivery of Products, resolving disputes with Buyers, and ensuring compliance with SafeSparesOnline policies. They must initiate deliveries promptly and respond to claims regarding sales transactions.

Sellers must provide evidence of delivery and transaction details if requested by SafeSparesOnline.
